Pay Master Services for West African Minerals Transactions

In complex mineral transactions — those involving multiple sellers, agents, brokers, government bodies and logistics providers — the question of who pays whom, in what order, and how it is documented can be as fraught as the transaction itself. A Pay Master sits above all parties, receives the total transaction funds, and disburses them to each recipient in the correct sequence and amount, against documentary proof that each obligation has been met.

What we do

MFT receives the full transaction amount from the buyer (or from the financing source). We then disburse payments in sequence per the agreed payment schedule: purchase price to the verified seller, government taxes and royalties directly to the relevant authorities, export and logistics fees to the service providers, agent or broker commissions to the documented intermediaries, and any remaining balance or surplus back to the buyer. Every disbursement is documented, receipted and reported. The buyer receives a full payment trail; every payee receives exactly what they are contractually owed.

Deals where government fees, broker commissions and seller payments must be sequenced correctly to keep the export process moving. Institutional buyers whose compliance requirements demand a documented payment audit trail. Financing structures where a lender requires proof that funds reached the correct beneficiaries.

Why MFT

The Pay Master role protects every party: the buyer knows their money went where it was supposed to go; the seller knows they will receive the agreed price once obligations are met; the government receives its taxes directly rather than relying on a seller to remit them; and brokers receive their commissions without having to chase. It also closes a common fraud vector — sellers who collect 'government fees' from the buyer and then fail to pay them, leaving the export stranded.

Pay Master services can be combined with our Escrow or Collateral Management services for full transaction custody, or used as a standalone disbursement service where funds come from the buyer directly. In all cases the payment schedule and beneficiary list are agreed and signed before any funds are received.
